  • You agree to resolve any disputes via binding arbitration in Gaithersburg, Maryland, and waive class action rights.

1. Definitions

 

"Narralyze" refers to Narralyze LLC, a Maryland limited liability company, the owner and operator of the Narralyze software-as-a-service (SaaS) platform (the “Service”).
"User," "you," or "your" refers to any individual or entity who accesses, browses, registers, or uses the Service.
"Content" means all data, text, images, software, documents, or other materials submitted, uploaded, transmitted, or otherwise made available through the Service.
"Terms" refers to these Terms and Conditions of Use.

2. Acceptance and Use of the Service

 

By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you must not use the Service.

You agree to:

  • Use the Service only for lawful, authorized purposes;

  • Provide accurate and current information during registration;

  • Maintain the confidentiality of your account credentials and restrict access to your account;

  • Not use the Service to transmit, distribute, or store any material that violates applicable law, infringes intellectual property, or is harmful, abusive, or unlawful.

Narralyze reserves the right to suspend or terminate your account if you violate these Terms or engage in any conduct deemed harmful to the platform, its users, or its operation.

 

3. Subscriptions, Billing, and Cancellation

 

Certain features of the Service are available only to paying subscribers.

- Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually), as selected during signup.
- Auto-Renewal: Subscriptions automatically renew unless canceled before the end of the current billing period.
- Cancellation: You may cancel your subscription at any time via your account dashboard. Cancellations are effective at the end of the current billing period. No refunds are provided for partial months or unused time.
- Pricing Changes: Narralyze may update subscription fees at its discretion, with prior notice. Continued use after such changes constitutes acceptance.

4. Intellectual Property Rights

 

- Ownership: All rights, title, and interest in the Service, including software, code, design, trademarks, and other intellectual property, are and remain the exclusive property of Narralyze LLC.
- License: Narralyze grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business or research purposes.
- Restrictions: You may not reproduce, modify, distribute, sublicense, reverse engineer, or create derivative works from any part of the Service without prior written consent from Narralyze.

5. User Content

 

- Ownership: You retain ownership of all Content you submit to the Service.
- License to Narralyze: By submitting Content, you grant Narralyze a non-exclusive, royalty-free, worldwide license to store, process, and display your Content solely for the purpose of operating and improving the Service.
- Responsibility: You represent and warrant that you have all rights necessary to upload and use the Content and that your Content does not infringe the rights of any third party.

6. Privacy and Data Protection Compliance

 

Use of the Service is subject to Narralyze’s Privacy Policy, which explains how we collect, use, store, and protect your data.

Narralyze is committed to compliance with all applicable data protection laws, including but not limited to:
- General Data Protection Regulation (GDPR) for users in the European Union
- California Consumer Privacy Act (CCPA) for users in California

- The right to access, correct, or delete your personal data
- The right to data portability
- The right to object to or restrict processing
- The right to opt out of the sale of personal information (as defined under CCPA)

7. Disclaimers

 

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Narralyze disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Narralyze does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

 

8. Limitation of Liability

 

To the maximum extent permitted by applicable law:
- Narralyze shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, arising out of or relating to your use of the Service.
- Narralyze’s total liability for any claim shall not exceed the amount you paid for the Service during the 12 months preceding the event giving rise to the claim.

 

9. Indemnification

 

You agree to indemnify, defend, and hold harmless Narralyze LLC and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way related to:
- Your access to or use of the Service;
- Your violation of these Terms;
- Your infringement of any intellectual property or other rights of a third party.

 

10. Termination

 

Narralyze may suspend or terminate your account and access to the Service at any time, with or without cause or notice. Upon termination:
- Your right to use the Service will immediately cease.
- Narralyze may delete your data, unless legally required to retain it.

 

11. Modifications to Terms

 

Narralyze reserves the right to update or modify these Terms at any time. We will provide notice of material changes through the Service or via email. Continued use after changes take effect constitutes your acceptance of the modified Terms.

 

12. Governing Law and Dispute Resolution

 

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law principles. You agree that any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Gaithersburg, Maryland.

14. Arbitration and Class Action Waiver
 

14.1 Arbitration Agreement
By using the Service, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved exclusively through binding arbitration, administered by the American Arbitration Association (AAA), in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Gaithersburg, Maryland, in the English language.

You and Narralyze agree to waive the right to a jury trial or to participate in a class action.

14.2 Exceptions:
- Either party may bring a claim in small claims court.
- Claims related to intellectual property rights may be brought in court.

14.3 Class Action Waiver
All claims must be brought in the parties’ individual capacities, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any form of a representative or class proceeding.
